1. Acceptance of Terms

By accessing or using the NEXIUM-AI platform, website, applications, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use the Service.

Your use of the Service constitutes acceptance of these terms. We may update these terms from time to time; continued use after changes constitutes acceptance of the revised terms. It is your responsibility to review this page periodically.

2. Eligibility

You must be at least the age of majority in your jurisdiction (typically 18 or older) and legally permitted to use financial products, investment services, and cryptocurrency-related services in your country of residence. By using the Service, you represent and warrant that you meet these requirements.

You are solely responsible for complying with all applicable laws, including tax and securities laws, in your jurisdiction. The Service may not be available in all regions; we may restrict access from certain countries or jurisdictions. Use from a restricted region is prohibited and may result in suspension or termination of access.

You may not use the Service if you are located in, or are a resident or citizen of, any jurisdiction where such use would be illegal or where we have prohibited access.

3. Description of the Service

NEXIUM-AI provides a blockchain-based platform for package investments, daily ROI (return on investment), and referral rewards on Binance Smart Chain (BSC). The Service includes a web interface that interacts with smart contracts (e.g. Nexium Core, Nexium Referrals) deployed on BSC. Package purchases, ROI accrual, caps, referral placement, and reward claims are governed by these smart contracts.

The Service may display referral tree, team business, and reward level information for user accounts. We do not guarantee any specific financial return, referral outcome, or reward availability. Crypto assets and smart contract interactions carry significant risk, including total loss of funds. Past performance is not indicative of future results.

We do not provide investment, legal, or tax advice. You should seek independent professional advice before making financial decisions.

4. Your Wallet and Responsibility for Keys

You connect to the Service via your own Web3 wallet (e.g. MetaMask). We do not custody your assets, store your private keys, or have access to your funds. All transactions (e.g. package purchase, withdrawal, reward claim) are initiated and signed by you on your device and executed on the blockchain.

You are solely responsible for securing your wallet, seed phrase, and private keys. Any loss of access, theft, or unauthorized use of your wallet due to your failure to secure them is your responsibility. We are not liable for any loss arising from key loss, phishing, or unauthorized access to your wallet.

We will never ask you for your seed phrase or private key. Anyone requesting them is not acting on our behalf.

5. Prohibited Use

You may not use the Service:

• For any illegal purpose or in violation of any applicable law or regulation.
• To commit or facilitate fraud, money laundering, terrorist financing, or other financial crime.
• To circumvent platform rules, smart contract logic, or caps (e.g. through multiple identities or abusive referral schemes).
• To interfere with or disrupt the Service, networks, or other users.
• To scrape, reverse engineer, or attempt to extract source code or data beyond normal use.
• To impersonate NEXIUM-AI, our team, or any other person or entity.

We may suspend or terminate your access to the Service (and any associated data displayed through it) for violation of these terms or applicable law. We may report suspicious activity to relevant authorities.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We do not guarantee any specific financial outcome, ROI rate, referral income, or reward availability. Smart contracts, blockchain networks, and third-party services may fail, be delayed, or behave differently than expected. You use the Service at your own risk.

Investment in crypto and use of smart contracts involves substantial risk of loss. You should only invest what you can afford to lose.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXIUM-AI, ITS OPERATORS, AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE PLATFORM (IN USDT OR EQUIVALENT) IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless NEXIUM-AI, its operators, affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these terms or applicable law, (c) your violation of any third-party right, or (d) any dispute between you and any other user or third party related to the Service.

9. Changes to the Service and Terms

We may modify, suspend, or discontinue the Service (or any part of it) at any time with or without notice. We may also update these Terms of Service from time to time. We will indicate the "Last updated" date at the top of this page. Material changes may be communicated via the platform, email (if we have it), or official channels.

Your continued use of the Service after any change constitutes acceptance of the revised terms. If you do not agree to the new terms, you must stop using the Service.

10. Severability

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.
